These Terms of Use are published on October 8, 2026 as a structured public terms surface. WAE HQ previously stated that no terms surface existed; this page replaces that status. The governing-law and jurisdiction framework is Founder-authorized (California law, competent courts in San Francisco) and remains subject to final legal review. Provisions marked APPROVAL REQUIRED — DRAFT below are drafts pending Founder/legal approval and do not yet create legal commitments. Until a provision is approved, its draft text is informational only. No provision of these Terms has been authorized as a binding commitment beyond what an already-approved provision states.

WHO THESE TERMS ARE BETWEEN

These Terms of Use are between you and WAE Media, LLC ("WAE", "we", "us"), the company that operates the WAE HQ website at waehq.com, the WAE HQ public surfaces, and the WAE Intelligence / Agentic Media OS product surfaces described on this site. WAE Media, LLC is organized in the State of Delaware, United States. Its principal place of business is San Francisco, California, and its official business and mailing address is 2261 Market Street, STE 83934, San Francisco, CA 94114, United States.

WHAT THESE TERMS COVER

These Terms apply to:

• the WAE HQ public website at waehq.com and its public pages, machine-readable surfaces, feeds, and published records;
• your use of WAE contact and inquiry channels; and
• access to WAE product surfaces (WAE Intelligence, Agentic Media OS workspaces), where WAE provides you access.

These Terms do not cover third-party platforms (for example Meta, Google, or YouTube) or third-party websites linked from WAE HQ; those services have their own terms.

AGREEMENT TO THESE TERMS

By accessing or using WAE HQ or the covered surfaces, you agree to these Terms. If you do not agree, do not use the covered surfaces. If you are using a covered surface on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

PERMITTED USE OF THE WEBSITE

WAE HQ is an informational and institutional surface. You may view, read, and share its public pages, and contact WAE through the published channels, for lawful purposes.

You agree not to:

• use the covered surfaces in violation of applicable law;
• misrepresent your identity, affiliation, or authorization when contacting WAE or submitting information;
• attempt to gain unauthorized access to any WAE system, account, workspace, or data that is not public;
• attempt to interfere with, degrade, or disrupt the covered surfaces or their underlying infrastructure;
• bulk-collect, scrape, or mirror the covered surfaces beyond reasonable individual use, except where a published machine surface explicitly provides data for programmatic access;
• reproduce, sell, or redistribute WAE content, records, or branding in ways that misrepresent their source or WAE's authorization;
• use the covered surfaces to infringe the intellectual property or other rights of WAE or any third party; or
• send malware, spam, or unlawful content to WAE channels.

CONTENT AND INTELLECTUAL PROPERTY

The content, design, branding, evidence records, and machine surfaces of WAE HQ are the property of WAE Media, LLC (or are used under license), and are protected by applicable intellectual property law. WAE grants you a limited, revocable, non-exclusive license to view and share the public surfaces for their intended informational purpose. Nothing in these Terms grants you ownership, a license to reproduce WAE content at scale, or a license to use WAE names, marks, or branding in ways that suggest endorsement or affiliation.

WAE's documented performance records carry their own provenance and limitation disclosures. Republishing a record without its sources, scope, and limitations is a misrepresentation of the record.

SUBMISSIONS AND CONTACT

WAE HQ operates no web forms; all inbound contact uses WAE's direct institutional email channel. By contacting WAE you provide what you choose to send. WAE uses submissions to respond and to maintain business records, as described in the Privacy Policy. Do not send passwords, access tokens, or other credentials to WAE; credentials are never required to contact WAE, and WAE will never ask for them.

Sending an inquiry does not create a confidentiality, agency, partnership, or business relationship with WAE. WAE's handling of submissions is described in the Privacy Policy at waehq.com/privacy-policy/.

ACCOUNTS AND PRODUCT ACCESS

The WAE HQ website has no user accounts and no login. The WAE Intelligence / Agentic Media OS production deployment is recorded asAccess-protected: it is not publicly available, and WAE is not onboarding external users today. Expressing interest in platform access is not a commitment by WAE to provide access, and does not create any service relationship.

Where WAE grants access to a product surface in the future, that access will be subject to these Terms and to any separate access or license terms provided at the time of grant; the separate terms control where they differ.

THIRD-PARTY PLATFORMS AND INTEGRATIONS

WAE products can connect to third-party platforms, including Meta (Facebook, Instagram) and — once the capability is activated — Google / YouTube, through those platforms' OAuth authorizations. When you connect a platform account to a WAE product:

• the connection is authorized by you through the platform's own consent experience;
• your use of the platform remains subject to that platform's own terms, and platform actions taken through WAE products are also actions on the platform;
• WAE's use of the data you authorize is described in the Privacy Policy and is limited to those purposes;
• provider activation is subject to each platform's own approval and audit requirements — WAE does not claim that any platform has approved, verified, or endorsed WAE or its products; and
• you may revoke a platform authorization at any time through that platform's account settings, as described on the Data Rights & Deletion page.

YOUTUBE TERMS OF SERVICE

WAE's Google / YouTube integration uses YouTube API Services. By using any YouTube-connected features of WAE products, you agree to be bound by the YouTube Terms of Service: www.youtube.com/t/terms. Your use of YouTube-connected features is also subject to the Privacy Policy's YouTube API Services disclosures at waehq.com/privacy-policy/.

DISCLAIMERS AND LIMITATION OF LIABILITY

WAE does not warrant that the covered surfaces are error-free, uninterrupted, or suitable for any particular purpose, and to the extent permitted by applicable law, WAE disclaims all warranties, express or implied, in connection with the covered surfaces. To the extent permitted by applicable law, WAE is not liable for indirect, incidental, consequential, or punitive damages, or for lost profits, arising out of or related to your use of the covered surfaces. These draft limitations do not exclude or limit any liability that cannot be excluded or limited under applicable law.

TERMINATION AND ACCESS CONTROL

CHANGES TO THESE TERMS

WAE may update these Terms as its services and practices change. When the Terms change, WAE will update the published date shown at the end of this page. WAE does not operate a notification list for Terms updates; check this page for the current version. Material changes to approved provisions remain subject to the same Founder/legal approval process as the original provision.

GOVERNING LAW AND JURISDICTION

APPROVAL STATUS: FOUNDER-AUTHORIZED FRAMEWORK — PENDING FINAL LEGAL REVIEW. This provision states the proposed framework and is not yet effective as a binding commitment until final legal review.

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws provisions, except that this choice of law does not deprive you of the protection of mandatory provisions of the law that applies to you and that cannot be varied by agreement.

Any dispute, claim, or controversy arising out of or relating to these Terms or the covered surfaces will be brought in the competent state or federal courts located in San Francisco, California, subject to mandatory applicable law and to any legally non-waivable rights you hold. Nothing in these Terms limits non-waivable consumer or user rights, or the applicability of mandatory law.

WAE Media, LLC is organized in the State of Delaware; the selection of California law for these Terms does not change WAE's state of organization or incorporation.
